As a principal and founding member of Momentum Technology Law Doug focuses his practice on growing technology companies. As a former programmer, and Chief Operating Officer and General Counsel of a large software company, Doug understands the intersection of law, sales, operations, and finance. He brings a balanced approach that focuses on business success with legal guidance as part of a broad solution for helping companies achieve their goals.
During his 30+ years of technology experience Doug has guided clients in the following areas: corporate formation, finance, technology licensing, strategic alliances, service agreements (including numerous SaaS clients), channel partner agreements, and software terms of service. He regularly counsel with clients on startup financing instruments such as SAFEs and other convertible debt instruments, as well as providing guidance on other financing vehicles common to growing companies.
Doug has a particular focus in the area of privacy and frequently counsels clients on compliance with the California Consumer Privacy Act (CCPA) and the European’s Union equivalent GDPR. He is experienced creating privacy policies and terms of service that protect companies who operate in the U.S. and worldwide.

Chris focuses his practice on helping innovative companies protect, commercialize, and maximize the value of their technology and intellectual property. He advises clients across the full business lifecycle—from startup formation and product development to strategic transactions, growth initiatives, and exits.
Chris structures, drafts, and negotiates a broad range of technology and commercial agreements, including patent, trademark, copyright, know-how, trade secret, and software licenses, SaaS and cloud services agreements, AI and data licensing arrangements, outsourcing and OEM agreements, consulting and strategic alliances, product development and manufacturing agreements, reseller and distribution agreements, and other complex commercial transactions.
A significant part of Chris's practice is dedicated to helping companies navigate emerging technologies, particularly artificial intelligence. He advises clients on AI product development and commercialization, data rights, model training and licensing issues, governance policies, vendor and customer agreements, and the evolving regulatory landscape. His practical, business-oriented approach helps clients responsibly deploy AI while managing legal and operational risks.
Chris also counsels clients on intellectual property strategy and portfolio management, helping businesses identify, protect, and leverage their IP assets. He regularly advises on freedom-to-operate analyses, open-source software compliance, IP due diligence, technology transfers, and enforcement strategies designed to maximize the value of innovation and support long-term business objectives.
His data privacy and cybersecurity practice includes advising clients on compliance with GDPR, U.S. state privacy laws, and other evolving data protection requirements. He works with organizations to develop privacy programs, negotiate data-related agreements, and implement practical governance frameworks that align legal obligations with business needs.
Chris frequently advises on the intellectual property and technology aspects of complex corporate transactions, including mergers and acquisitions, strategic investments, financings, and bankruptcy matters. He conducts IP and technology due diligence for buyers, sellers, and investors and helps clients identify and address key risks associated with valuable technology assets.
A registered patent attorney with nearly two decades of experience, Chris brings a unique combination of legal, technical, and commercial insight to his practice. Clients value his ability to quickly understand sophisticated technologies and communicate effectively with engineers, scientists, executives, and investors alike. His practical advice is grounded in an appreciation for both the legal landscape and the business realities his clients face.
Chris has represented clients across a diverse range of industries, including software and SaaS, artificial intelligence, automotive, financial services and fintech, e-commerce, food and beverage, medical devices, advanced manufacturing, and other technology-driven sectors.
